In plain words

The full text is in English and is the version that applies. This summary is here to help you read it.

  • You are your own business. You choose when to be online, which requests to answer, your prices (inside the published range for a catalog line, or your own line at your own price), your tools, parts and helpers. No schedule, no territory, no exclusivity. Rollagain is not your employer and does not do or guarantee the repair.
  • Before your first job: a government photo ID; the repair-shop registration or license your state requires, if any; a certificate of insurance with at least $1,000,000 liability naming Rollagain as an additional insured, commercial auto on your service truck, and garage keepers cover if you ever move a customer’s vehicle. If a document expires or a policy is cancelled, tell us within a day; you are offline until it is replaced.
  • Quote before you roll. You go only after the customer approves the price and the hold is on their card. The price is the price: anything more needs a new approval in the app. No after-hours surcharge, no card fee on a price, no cash on the side.
  • Photos before and after, every job. Never work on the mainline or shoulder of a toll road or controlled highway. If a scene is unsafe, say so and stop; nothing in this agreement asks you to continue.
  • Money: on network jobs Rollagain keeps 15% of each amount charged; on your own customers 1% plus a card fee of 2.9% + $0.30 per charge. Sales tax lines are left out of the percentage; the card fee is on the whole charge. When the customer confirms, or 24 hours after you mark the job done, the card is charged and your payout is scheduled; it reaches your Stripe account within about a business day and your bank on Stripe’s schedule. A company-invoice job is paid by Rollagain within 10 business days.
  • Not fixable where it stands: end the job in the app with a written finding and a photo. You are paid the diagnostic line only, less the fee, plus its share of any sales tax line; nothing if your price had none. The tow is not part of your job or your pay.
  • Dispute: your payout is held, not reversed. You answer in the app. Rollagain decides on the record, normally within 48 hours; that decision is final for the money held on that job. If a bank reverses a payment after you were paid and the record does not defeat it, you owe that amount back; we deduct it from later payouts and show you the record.
  • Customers: a customer Rollagain brought you stays on Rollagain for 12 months, repeat work included. Customers you bring are yours; we do not market to them or send them elsewhere. Sales tax you must collect goes on your price as its own line.
  • Responsibility: your work, your helpers, any damage, and your taxes (W-9 information through Stripe, a 1099-K when the law requires) are yours. If your work leads to a claim against Rollagain, you cover it, unless we were grossly negligent.
  • Pausing: repeated no-shows, late cancels or disputes decided against you can pause your account; we tell you why in writing and a person answers your reply. Disputes with Rollagain itself go to arbitration as the Terms say, with the same 30-day opt-out.

This summary is for reading. The full text below is the agreement and controls if they differ.

Accepted in the app before a mechanic goes online.

This Agreement is between you, the independent repair business named in your Rollagain account (“you”, the “Service Provider”), and Rollagain LLC, a Delaware limited liability company (in formation) (“Rollagain”). It adds to the Terms of Service and the Privacy Policy. If this Agreement and the Terms say different things, this Agreement wins for mechanics. You accept it in the app before you go online for network Jobs or open a Job for your own customer.

Arbitration notice. A dispute between you and Rollagain, including any claim that you were an employee, is decided by a private arbitrator under Section 17 of the Terms of Service, one case at a time, not in court and not as a class action. You may opt out within 30 days of accepting by emailing legal@rollagain.app.

1. What you are, and what Rollagain is

You are an independent business. Rollagain is a technology platform that brings you requests, locks the price, holds the payment and keeps the record. Rollagain is not your employer, partner, joint venturer or agent, and you are not Rollagain’s. In particular:

  • You decide whether to go online, which requests to answer and which to pass on. There is no schedule, quota, territory, uniform or exclusivity. You may work for anyone else, including other platforms, at any time.
  • You set your own prices. For the services in the Platform’s catalog, Rollagain publishes a price range for each line. The range is a rule Rollagain sets on its own, for customers’ protection, so a customer who approves a catalog line knows what it can cost; it is not an agreement among Service Providers, and you do not coordinate prices with anyone through Rollagain. You choose your own price inside the range for each catalog line and may save it as your usual price. You may quote any work as your own line item at your own price.
  • You decide how to do the work, with your own tools, parts, vehicle and helpers, in accordance with law and industry standards.
  • You are responsible for your own licenses, registrations, permits, insurance, taxes and employees or helpers.
  • Rollagain does not perform, supervise or guarantee any repair, and is not a repair shop or a tow company.

2. Verification and insurance

Before your first network Job, and kept current afterwards, you give us three things: (1) a government photo ID; (2) the repair-shop registration, repairer’s license or equivalent your state requires, if it requires one; and (3) a certificate of insurance showing garage liability or general liability of at least $1,000,000 per occurrence (per incident), naming Rollagain LLC as an additional insured on that policy, commercial auto insurance on your service vehicle, and, if you ever drive or tow a customer’s vehicle, garage keepers coverage (insurance for a customer’s vehicle in your care). Rollagain reviews the documents, usually within one business day, and may ask for more. A review of documents is not a license, a background check, or a guarantee of your work to anyone. If a document expires, or a license, registration or policy is suspended or cancelled, you tell Rollagain within one business day and you stay offline for network Jobs until it is replaced.

3. Standards on a Job

  • Quote before you roll. A network Job starts with your locked quote; you go only after the customer approves it and the hold is on their card (the app shows the job as approved and held). Never roll on a promise.
  • The price is the price. Nothing is added without a new approval from the customer in the app. No after-hours surcharge, no mileage surprise, no cash on the side.
  • Never a card fee. Do not put a card fee, processing fee, convenience fee or surcharge on a price or an addition, under any name. Price your work as you like; do not price paying by card. A line that does so is refused by the app, and the Job may be cancelled.
  • Photos and the record. Before you start and after you finish, you take the photos the app asks for. They protect you as much as the customer.
  • Safety. The law and the road authorities decide where roadside work is allowed. You never work on the mainline or shoulder of a toll road or controlled highway where only the road authority’s providers may work. The app repeats the common safety practices for roadside work, such as approaching with amber lights on; they are reminders of the rules that already bind you, not instructions from Rollagain, and you are responsible for your own safety and your helpers’. If a scene is unsafe, you say so and stop. Nothing in this Agreement asks you to continue.
  • Show up. Once a customer has approved your price and the hold is on their card, that customer is waiting for you and relying on you. If you cannot go, cancel in the app at once so the customer can be helped by someone else. A pattern of no-shows, of late cancellations without a reason, or of disputes the Job Record decides against you can pause your account (section 9).
  • Be straight with people. You describe what you found and what you did honestly, on the record.

4. Prices, fees and payment

  • Network Jobs (a customer Rollagain brought you): Rollagain keeps 15% of each amount charged to the customer for the Job, not counting any sales tax line in it. The locked price is one charge. Each addition the customer approves is another. The fee is rounded to the cent on each charge and deducted from your payout.
  • Your own customers (a Job you open for a customer you already have): Rollagain keeps 1% of each amount charged, not counting any sales tax line in it, plus a card fee of 2.9% + $0.30 on each whole card charge, sales tax included. The locked price is one charge; each approved addition is another. Rounded to the cent on each. The card fee is a fixed rate, whatever the card. The customer sees the total only; nothing is added to their price for paying by card. Your customers stay your customers.
  • Rollagain may change fees with at least 14 days’ notice in the app; the change applies to Jobs approved after that.
  • Payment agent. You appoint Rollagain as your limited agent to collect payment from customers for Jobs on the platform. A customer’s payment to Rollagain for a Job is payment to you for that Job. Rollagain then owes you the payout under this section; the customer does not owe it twice, and you never collect it again from the customer.
  • Card Jobs. Payments run through Stripe. You complete Stripe’s onboarding (identity, bank account, taxpayer information) before your first payout. When the customer confirms, or the Job confirms itself 24 hours after you mark it done, the card is charged and your payout (the amount charged less Rollagain’s fee) is scheduled, unless a dispute or a chargeback is open. Rollagain transfers it to your Stripe account within about one business day after Stripe confirms the charge. Stripe’s schedule then moves it to your bank, usually within a few days. A card Job’s money stays inside Stripe until it reaches you; Rollagain does not move it through its own bank. Rollagain does not control when Stripe holds, reserves or delays a payout under Stripe’s own rules.
  • Company-invoice Jobs. A fleet on invoice terms pays Rollagain, not you. Rollagain pays you for a confirmed invoice Job from its own account within 10 business days of confirmation, whether or not the fleet has paid Rollagain.
  • Never more than the price. Rollagain never charges the customer more than the locked price plus the additions the customer approved.
  • Not fixable roadside. If you arrive, inspect the vehicle and find it cannot be repaired where it stands, you end the Job in the app with a written finding and a photo of what you found. Only the diagnostic line of your Quote, at the price you quoted and never above the published range for that line, is paid, less the fee, together with the part of any sales tax line on your Quote that belongs to it (which you remit), once the customer confirms or the Job confirms itself; every other line and any addition is withdrawn. If your Quote has no diagnostic line, nothing is charged and nothing is paid. The tow is not part of your Job or your payout. Rollagain does not tow and does not hire tow companies; a dispatcher may pass the customer the name of one, and the tow company deals with the customer directly.

5. Taxes and forms

You are responsible for all taxes on your income. Where the law requires you to collect sales tax on parts or labor, you add it to your price as its own “Sales tax” line at the right rate for where the work is done, and you remit it. Rollagain’s percentage fee is taken on each amount charged without its sales tax line; the card fee on your own customers’ charges is on the whole charge, because the card processor charges on the whole. The app shows the line, and a line above 15% of the rest of the price is refused as a likely typo. If the law makes Rollagain the collector of a tax (what the law calls a “marketplace facilitator”), Rollagain tells you in writing before it starts, collects that tax from the customer on the receipt itself, pays it to the state, and takes no fee on it. Before your first payout you give your taxpayer information through Stripe’s onboarding (legal name, address, taxpayer identification number, and whether you are an individual or a company: the same information as on Form W-9), and you keep it current. When the law requires it, Rollagain, or Stripe on Rollagain’s behalf, files the information return for the year (Form 1099-K when the federal or a state threshold is met) and sends you a copy by January 31. Payments Rollagain makes to you outside Stripe count toward the same form. Your statements and earnings page are records, not tax forms.

6. Disputes, refunds and chargebacks

If a customer opens a dispute, the payout is held, not reversed. You respond in the app. Rollagain decides on the Job Record, normally within 48 hours, whether to release, refund or split the Locked Price. You agree that decision is final as to the funds held on the platform for that Job. It does not limit your other legal rights against the customer, and it does not make Rollagain responsible for the work.

After you were paid. A customer’s card issuer may reverse a payment (a chargeback), or Rollagain may refund a Job on the Job Record after it was confirmed. If that happens after your payout and the Job Record does not defeat the reversal, you owe Rollagain the refunded amount that reached you, up to your payout on that Job, and any network fee. Rollagain recovers it by reversing the Stripe transfer, by deducting it from your next payouts or, under your Stripe agreement, from your Stripe balance, or, if nothing is due to you for 60 days, by an invoice due in 15 days. Before deducting anything except a chargeback the issuer has already decided, Rollagain tells you in the app and by email with the reason and the record, and you have 7 days to respond. Rollagain tells you in writing the amount of every deduction and the Job it belongs to. Rollagain does not charge you the processor’s fee on a refund or the issuer’s chargeback fee, unless the chargeback is lost because you broke this Agreement (no photos, no arrival on record, work not as quoted, or a request to be paid outside the platform). Rollagain answers every chargeback with the Job Record; your photos and timestamps are your defense.

7. Insurance, responsibility and indemnity

In plain words: your work is your responsibility, your insurance covers it, and if your work or your helpers cause a claim against Rollagain, you pay Rollagain’s costs, unless the claim was caused by Rollagain’s own gross negligence or willful misconduct.

You are responsible for your work and for any injury, damage or loss that arises from it, and you keep the insurance in section 2 in force to cover that responsibility. Anyone who helps you on a Job is your employee or your contractor, never Rollagain’s: you pay them, you carry workers’ compensation for them where the law requires it, and you answer for them. You indemnify Rollagain, its owners, officers, employees and agents, and hold them harmless, from claims, damages and costs, including reasonable attorneys’ fees, arising from your work, your vehicle, your helpers, your breach of this Agreement, your violation of law, or a text or call Rollagain sent to your own customer on your word that the customer agreed to it, except to the extent a claim was caused by Rollagain’s own gross negligence or willful misconduct. Rollagain tells you promptly of a claim it asks you to cover, lets you control the defense with counsel Rollagain does not reasonably object to, and does not settle it without your consent unless Rollagain pays the whole settlement; you do not settle a claim in a way that admits fault by Rollagain or binds it without its written consent. Rollagain’s liability to you is limited as the Terms of Service state.

8. Customers, data and conduct

  • Network customers. If Rollagain introduced you to a customer, you agree to run that Job, and any work for that same customer in the next 12 months, through Rollagain rather than directly. This does not apply to anyone who was already your customer or who finds you elsewhere.
  • Your customers. Customers you bring are yours. Rollagain does not market to them and does not send them to other mechanics.
  • Your own customers and texts. When you open a Job for your own customer and tick the box that they agreed to texts, you confirm that the customer gave you that number for this Job and agreed to be texted about it by Rollagain.
  • Estimates, invoices and parts. The Quote in the app is your written estimate, the customer’s approval is their written authorization, and the receipt is your itemized invoice. Where the law where you work asks for more, such as a printed copy, an offer to return the replaced parts, or a posted notice, you do it.
  • Data. You use customer names, phone numbers, locations and photos only for the Job. While you are on the way, the app shares your position with the customer until you arrive. Rollagain keeps the Job Record and your payout records for 7 years, as the Privacy Policy describes; you can print them from the earnings page at any time.
  • The Rollagain name. You may say that you take jobs through Rollagain. You do not use the Rollagain name or logo as your own business name, on your truck or in your advertising without written permission, and you never say you work for Rollagain or are its employee.
  • Conduct. No harassment, discrimination, intoxication on a Job, fraud, fake photos, or asking a customer to pay outside the platform on a network Job.

9. Pausing and ending

You can stop using Rollagain at any time by going offline or closing your account; you finish or properly cancel any open Job first. Rollagain can pause or close your account for a lapsed document, a safety issue, a pattern of no-shows or of disputes decided against you on the record, or a breach of this Agreement, and will tell you why in writing. You may reply in the app or by email to legal@rollagain.app; a person reads it and answers within five business days. Sections 4 to 8 and 10 (fees, taxes, disputes, responsibility, customers and data, law and arbitration) still apply to Jobs that were open or finished when you left.

10. Changes, law and disputes with Rollagain

Rollagain may update this Agreement; a change that requires your consent is shown in the app for you to accept before you continue. This Agreement is governed by the laws of the State of Delaware. Any dispute between you and Rollagain, including any claim that you were an employee, is resolved as Section 17 of the Terms of Service provides, including its opt-out. If the Federal Arbitration Act does not apply to you, the arbitration law of the State of Delaware applies.

11. Acceptance

You accept this Agreement by tapping “I accept” in the app. Rollagain records the version, the date and time, and your account. The person accepting confirms they have authority to bind the business named in the account.
